UYM Invest platform rules

1. General

These rules govern the UYM Invest investment platform (the Platform) operated by ООО «UYM Invest» (the Operator). The Platform operates in the regulatory sandbox under Presidential Resolution PQ-255 of 21.08.2025 and the regulation of the National Agency for Perspective Projects. By registering, users accept these rules in full.

2. Participants

Investors are identified individuals over 18 and companies, resident or not. Fundraisers are property companies set up to own a specific property that publish an offering on the Platform.

3. Identification

The Operator identifies investors, their beneficial owners, tax residency and source of funds, and screens participants under anti-money-laundering law. The Operator may refuse access without giving reasons.

4. Offerings

Each property has a published offering listing the fundraiser’s details, beneficial owners, purpose, validity, minimum and maximum amounts, escrow settlement, refund procedure, investor rights, obligations and risks, and Operator fees.

5. Contract

The investor accepts the offering in their dashboard together with the risk disclosure. Funds go to the Operator’s bank escrow account. The contract is concluded if the investor does not withdraw within the cooling-off period (3 days) and funds reach the fundraiser after the close. The investor receives a register extract and an electronic certificate.

6. Cooling-off and refunds

During the cooling-off period the investor may withdraw without a reason; funds are returned within 3 business days. If the minimum raise is not reached by the deadline, the offering is cancelled and funds returned within 1 business day.

7. Limits

An individual who has not passed the test may invest up to 30 BCA per project and 150 BCA per calendar year in total. Limits fall away after passing the free test with at least 75%.

8. Income

Net income of the property company is distributed pro rata at least quarterly. The fundraiser is fully responsible for the project’s returns. The Operator does not guarantee income or capital.

9. Secondary market

After 180 days of ownership, investors may offer shares to other investors at 50–150% of the current value. The Operator fee is 1%, paid by the seller.

10. Liability and disputes

Funds passed through the Platform cannot be pledged, misused or seized by the Operator or third parties except by court order. Disputes are settled by negotiation or in the courts of the Republic of Uzbekistan.
